1. Agreement to Terms

Welcome to TrueSay! TrueSay provides you with access to its mobile applications and other services (the "Services"). Anyone who accesses or uses our Services is subject to these Terms of Service ("Terms" or "Agreement"). By using any of our services or by subscribing to them, you accept these Terms of Service.

2. Account Eligibility and Access

When using the Services, you affirm and guarantee that:

• You are at least 18 years of age.
• Using our services is not against the law in your jurisdiction.
• At any moment, you must discontinue using the service if you are unable to comply with these conditions.

3. Restrictions On Use

You agree to use the Services only for lawful purposes. You acknowledge and agree that you will not:

• Duplicate, alter, transmit, distribute, or produce derivative works from the Services.
• Reverse engineer, decrypt, compile, or attempt to modify any aspect of our services.
• Upload harmful code, malware, or anything that could damage our security.
• Use the Service for any unlawful, harmful, threatening, abusive, or harassing purpose.
• Impersonate or misrepresent your affiliation with any person or entity, create a false identity, or otherwise attempt to mislead others as to the source or origin of communications using the Services (including phishing).
• Use the Services for any automated, high-volume translation or transcription activity, or sending spam/bulk messages using our shareable links.

4. License To Use the Service

Subject to your compliance with the terms of this Agreement, TrueSay grants you a limited, non-exclusive, revocable, non-transferable license to access and use the Services for your personal, non-commercial use. You may not rent, sell, lease, or sublicense the Services.

5. Account Ownership & Security

TrueSay considers the owner of the email address or other login identifier associated with your account to be the sole owner of the account. You are solely responsible for all transactions made through the account and for maintaining the confidentiality of your credentials. You agree to keep your account information accurate and up to date.

6. Subscription Services and Payments

You can sign up for our service and purchase subscriptions or credits through third-party platforms (like Apple App Store or Google Play). Payment processing is handled by these platform providers.

• Automatic Renewal: Paid subscriptions renew automatically. If you do not cancel at least 24 hours prior to expiration, you will be charged for the next billing cycle.
• Refunds: All purchases are processed by the respective App Store and subject to their refund policies. Generally, payments are non-refundable.

Credits Rules

• Purchasing Credits: Prices and benefits are based on the current in-app payment interface.
• Gifting Credits: Certain subscription tiers may include bonus credits.
• Using Credits: Credits are deducted for premium features like Live Translation Calls, Face-to-Face Translation, etc.

7. Cancellation

You can cancel your subscription and recurring payments at any time by following the instructions in the Apple App Store or Google Play Store. If you cancel, you will retain access to premium features until the end of your billing cycle.

8. Limitation of Liability

TrueSay and its affiliates shall not be liable for any direct, indirect, incidental, or consequential damages arising out of your use of the Services. This includes, but is not limited to, alleged errors or inaccuracies in AI translations, transcriptions, lost call data, connection delays, or any information provided by third-party vendors.

In no event shall TrueSay be liable for any costs, legal fees, fines, or damages arising out of private or government legal actions, regulatory investigations, or law enforcement inquiries related to your use of the Services in any country. You are solely responsible for ensuring your communications comply with all applicable local, state, national, and international laws.

9. Use and Storage Practices

We strongly recommend that you make adequate backup copies of any transcripts or call records you wish to keep. TrueSay assumes no responsibility or liability for the deletion or failure to store any data maintained or transmitted by the Service.

10. Account Suspension or Termination by TrueSay

TrueSay reserves the absolute right, in its sole discretion, to take any of the following actions:

• Suspend your account immediately and without prior notice, pending further investigation, if we have reasonable grounds to believe you are engaging in fraud, spamming, harassment, impersonation, or otherwise violating this Agreement.
• Refuse to allow you to purchase or recharge credits or subscriptions.
• Terminate this Agreement and your access to the Services upon one (1) day's electronic notice (via email or in-app notification) for any material breach of these Terms.

If your account is suspended or terminated due to a violation of this Agreement, you acknowledge and agree that you will not be entitled to any refund for any remaining credits or unused subscription balances.

11. Dispute Resolution

To resolve any dispute, you agree to first contact our customer support. If the dispute cannot be resolved informally, any claim arising out of this Agreement shall be resolved by binding arbitration, rather than in court, except for matters eligible for small claims court. You waive any right to participate in a class-action lawsuit.

12. Governing Law & Jurisdiction

This Agreement and any dispute, claim, or controversy arising out of or relating to this Agreement or the Services shall be governed by, and construed in accordance with, the laws of Vietnam, without regard to principles of conflicts of law. You and TrueSay agree that any legal action, suit, or proceeding arising out of or in connection with this Agreement shall be brought and resolved exclusively in the competent courts of Vietnam.

13. Disclaimer of Warranties

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TRUESAY AND ITS AFFILIATES AND PARTNERS (INCLUDING AI AND CLOUD PROVIDERS) EXPRESSLY DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

TRUESAY MAKES NO WARRANTY THAT (I) THE SERVICES WILL MEET YOUR REQUIREMENTS, (II) THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, OR (III) THE AI-GENERATED TRANSLATIONS, TRANSCRIPTIONS, OR CALL SUMMARIES WILL BE ACCURATE, COMPLETE, OR RELIABLE.

14. Export Controls

The Services and the technology they are based on are subject to the export control and economic sanctions laws and regulations of the United States and other applicable jurisdictions. By downloading, accessing, or using the Services, you represent and warrant that you are not located in, under the control of, or a national or resident of any country subject to a U.S. government embargo or sanctions, and that you are not listed on any U.S. government list of prohibited or restricted parties.

15. Indemnity

You agree to defend, indemnify, and hold harmless TrueSay, its founders, operators, employees, affiliates, agents, and licensors from and against any and all claims, suits, actions, demands, liabilities, damages, losses, costs, and expenses (including but not limited to reasonable attorneys' fees and court costs) arising out of or in any way connected with (i) your access to or use of the Services, (ii) your violation of this Agreement, (iii) your violation of any third-party right, or (iv) any illegal activity, fraud, scam, or impersonation conducted by you or through your account using the Services.

16. Force Majeure

TrueSay shall not be held liable or responsible for any failure to perform, or delay in performance of, any of its obligations under this Agreement that is caused by events, circumstances, or causes beyond its reasonable control. These events include, but are not limited to, acts of God, natural disasters, war, terrorism, civil unrest, labor strikes, power outages, failures or disruptions of telecommunications carriers, networks, third-party infrastructure (such as hosting, database, or AI services), or government interventions.

17. User Content and Feedback

TrueSay may allow you to post, submit, or transmit reviews, comments, and other feedback regarding the Services (collectively, "Feedback"). By submitting Feedback to us or posting it on public app stores or third-party platforms under your name, you grant TrueSay a worldwide, perpetual, irrevocable, royalty-free, and fully sublicensable license to use, copy, display, distribute, modify, and publish the Feedback for any purpose, commercial or promotional, without any compensation or obligation to you.
